FlashDash Terms of Service

These Terms are a contract between you and FlashDash Tech LLC ("FlashDash," "we," "us"), a California limited liability company. By using FlashDash, you agree to them. If you don't agree, don't use FlashDash.

FlashDash is currently offered only in the United States.


1. What FlashDash is — and what it isn't

FlashDash is a platform that connects consumers with time-limited deals ("flashes") offered by local businesses ("merchants"). Consumers claim a deal (a "dash") and redeem it in person at the merchant.

This is the most important thing in these Terms:

FlashDash is not the seller. We don't make, sell, provide, or guarantee any product or service in a deal. The merchant does. Your purchase happens between you and the merchant, at their business — we're not a party to it. We don't take your payment for the deal, we don't set the merchant's prices, and we don't control the quality, safety, legality, or accuracy of what a merchant offers.

We are not responsible if a merchant refuses to honor a deal, closes, misdescribes an offer, runs out of stock, or gives you a bad experience. If that happens, tell us — we take it seriously and it affects whether a merchant stays on FlashDash — but your recourse for the transaction itself is with the merchant.


2. Your account

You must be 13 or older. You're responsible for your account and for what happens under it. Give us accurate information and keep it current. Don't share your credentials or let someone else use your account. Tell us right away if you think your account has been compromised.


3. Consumer terms

3.1 Claiming deals

Claiming a dash reserves a spot — it is not a purchase. Dashes are:

3.2 Redeeming

Show your redemption code to the merchant at their business, within the deal's time window. The merchant scans or enters it. A code that isn't redeemed during the window is void and has no cash value.

Dashes have no cash value, can't be exchanged for money, and can't be combined with other offers unless the merchant says so.

3.3 Fair use

To keep deals available to people who'll actually use them, we limit how many deals you can hold at once. That limit can rise as you build a record of redeeming what you claim, and repeated no-shows can keep it low. We don't suspend accounts for missed deals — but we do reserve the right to suspend accounts that abuse the system (see section 6).


4. Merchant terms

If you create or manage a business on FlashDash, this section also applies to you, and you agree to it on behalf of your business.

4.1 Authority and verification

You represent that you're authorized to act for the business you claim. We verify control of a business — for example by a code sent to the business's phone number on file, or a postcard to its address. Claiming a business you don't control is a serious violation and grounds for immediate removal.

4.2 Your deals are your promises

A deal you publish is your binding offer to consumers, and:

Repeatedly failing to honor deals is grounds for removal from FlashDash.

4.3 Content you upload

You keep ownership of your business content (photos, descriptions, notes). You grant FlashDash a non-exclusive, worldwide, royalty-free license to host, display, reproduce, and distribute that content in order to operate and promote FlashDash and your listing.

You represent that you have the rights to everything you upload — including photos. Don't upload anything you don't have the right to use.

4.4 Subscription and billing

4.5 Cancelling your subscription

You can cancel in the app's billing portal or by emailing us. Cancelling stops future charges; it doesn't refund past ones. Deals already published may continue through their window, and consumers who hold valid dashes must still be honored.


5. Acceptable use

Don't:

We may remove content, limit features, suspend, or terminate accounts that violate these Terms — with or without notice, at our discretion.


6. Reports, moderation, and enforcement

Users can report deals and businesses. We may review deal content with automated screening and human review, and may remove content or businesses that break these Terms. We are not obligated to monitor content, but we may.

If a merchant is removed, their deals come down. We'll try to honor dashes already claimed, but can't guarantee a removed merchant will honor them.


7. Notifications

FlashDash sends push notifications for deals and account activity if you enable them. You control your alert radius and categories, and can turn notifications off in the app or your device settings. We may still send you essential account, security, or billing messages by email.


8. Intellectual property

FlashDash — including the app, the name "FlashDash," our logo, and the software — belongs to FlashDash Tech LLC and is protected by law. We grant you a limited, personal, non-transferable, revocable license to use the app for its intended purpose. Don't copy, modify, reverse-engineer, or create derivative works from it, or use our branding without written permission.


9. Third-party services

FlashDash relies on third parties (Google/Firebase, Stripe, Apple and Google app stores, mapping providers). Your use of those is governed by their terms. We're not responsible for them. Links or map directions we surface don't imply endorsement.


10. Disclaimers

FLASHDASH IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, express or implied, including merchantability, fitness for a particular purpose, and non-infringement.

We don't warrant that FlashDash will be uninterrupted, error-free, or secure, that deals shown will be available or accurate, or that merchants will honor them or meet your expectations.

Deals, business information, hours, and locations come from merchants and third-party data sources and may be wrong or out of date. Verify before you travel.

Some states don't allow certain warranty exclusions, so parts of this may not apply to you.


11. Limitation of liability

TO THE FULLEST EXTENT PERMITTED BY LAW, FlashDash Tech LLC and its members, officers, and agents are not liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenue, data, goodwill, or other intangible losses, arising from your use of FlashDash.

Our total liability for any claim relating to FlashDash is limited to the greater of: (a) the amount you paid us in the 12 months before the claim, or (b) US $100.

Nothing here limits liability that can't be limited by law.

Some states don't allow these limits, so parts may not apply to you.


12. Indemnification

You agree to indemnify and hold harmless FlashDash Tech LLC from claims, damages, losses, and expenses (including reasonable legal fees) arising from your use of FlashDash, your violation of these Terms or the law, your content, or — if you're a merchant — any deal you publish or fail to honor.


13. Termination

You can stop using FlashDash and ask us to delete your account anytime. We may suspend or terminate your access at any time, with or without notice, if you violate these Terms or if we discontinue the service. Sections that by their nature should survive (ownership, disclaimers, liability limits, indemnification, dispute resolution) survive termination.


14. Governing law and disputes

These Terms are governed by the laws of the State of California, without regard to conflict-of-laws rules.

Any dispute will be brought exclusively in the state or federal courts located in Santa Clara County, California, and you consent to their jurisdiction.

Before filing anything, contact us — we'll try in good faith to resolve it informally within 30 days.


15. Changes to these Terms

We may update these Terms. We'll revise the "Last updated" date, and for material changes we'll give notice in the app or by email. Continuing to use FlashDash after a change means you accept it. If you don't accept, stop using FlashDash and ask us to close your account.


16. General

These Terms, plus our Privacy Policy, are the entire agreement between us. If any provision is unenforceable, the rest stays in effect. Our not enforcing something isn't a waiver. You can't assign these Terms; we may assign them in connection with a merger or sale.
